These Terms of Service ("Terms") govern your participation as an investor in Kinds Capital (the "Fund, " "we, " "us, " or "our"), a private investment fund focused on manual trading and capital preservation. By subscribing to or investing in the Fund, you ("Investor, " "you, " or "your") agree to be bound by these Terms. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INVEST IN THE FUND.
Acceptance of Terms
By executing a subscription agreement and transferring capital to the Fund, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, the Fund's offering memorandum, subscription documents, and any other governing documents. These Terms supplement, but do not replace, the formal subscription agreement and fund documentation.
Eligibility
To invest in the Fund, you must:
Be at least 18 years of age or the age of majority in your jurisdiction
Qualify as an accredited investor, qualified purchaser, or other eligible investor category as required by applicable securities laws
Have legal capacity to enter into binding agreements
Comply with all applicable laws and regulations in your jurisdiction
Complete all required KYC (Know Your Customer) and AML (Anti-Money Laundering) verification

Kinds Capital is a private investment fund focused on manual trading and capital preservation. We manage investor capital through structured strategies while integrating fundamental market conditions into our decision-making. Our approach combines disciplined position management, volatility-aware exposure, and a long-term focus on consistency, performance, and capital efficiency.
Investment Risks
INVESTING IN THE FUND INVOLVES SUBSTANTIAL RISK, INCLUDING THE RISK OF
LOSS OF CAPITAL. YOU ACKNOWLEDGE AND ACCEPT THAT:
Past performance is not indicative of future results
Trading activities carry inherent market, operational, and counterparty risks
There is no guarantee of profit or capital preservation
The Fund may employ leverage, which amplifies both gains and losses
You should only invest capital you can afford to lose

Subscription Process
To become an investor:
Complete and execute the subscription agreement and related documentation
Provide all required KYC/AML documentation and certifications
Transfer the agreed subscription amount to the Fund's designated account
Receive confirmation of acceptance from the Fund (we reserve the right to reject subscriptions)
Fees and Expenses
Investors are subject to the following fees as detailed in the offering memorandum:
Management Fee: A percentage of assets under management charged periodically
Performance Fee: A percentage of profits above a specified hurdle rate or high-water mark
Fund Expenses: Operating costs, administrative fees, legal, accounting, and regulatory expenses
All fees are deducted from investor capital or returns as specified in fund documentation.
Fee structures may vary by share class.
Capital Calls and Distributions
The Fund may issue capital calls to funded and unfunded commitments as needed for investment activities and operational expenses. Distributions, if any, will be made at the discretion of fund management in accordance with the offering memorandum. Distributions are not guaranteed.
Redemptions and Withdrawals
Investments in the Fund are subject to lock-up periods and redemption restrictions as specified in the offering memorandum. Early redemptions may be subject to penalties or may not be permitted. Redemption requests must be submitted in writing with advance notice as required by fund terms. The Fund reserves the right to suspend or limit redemptions in certain circumstances.
Reporting and Transparency
Investors will receive:
Quarterly performance reports and statements
Annual audited financial statements
Tax documentation (K-1s or equivalent) for tax reporting purposes
Material updates regarding fund operations and strategy
Investor Obligations
As an investor, you agree to:
Provide accurate and complete information in all documentation
Promptly notify the Fund of any changes to your contact information or investor status
Maintain confidentiality of proprietary information, strategies, and performance data
Comply with all applicable laws and regulatory requirements
Respond promptly to capital calls and administrative requests
Confidentiality
All information regarding the Fund's investment strategies, positions, performance, operations, and proprietary methodologies is confidential. You agree not to disclose such information to third parties without prior written consent from the Fund. This obligation survives the termination of your investment.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINDS CAPITAL, MANAGERS, DIRECTORS, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM INVESTMENT PERFORMANCE, MARKET CONDITIONS, OR EVENTS BEYOND REASONABLE CONTROL, EXCEPT IN CASES OF GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.
Indemnification
You agree to indemnify and hold harmless the Fund, its affiliates, and their respective representatives from any claims, liabilities, or expenses arising from your breach of these Terms, violation of applicable laws, or misrepresentation in subscription documents.
Governing Law and Dispute Resolution
These Terms shall be governed by the laws of [Insert Jurisdiction]. Any disputes shall be
resolved through binding arbitration in accordance with the rules of [Insert Arbitration Body].
You waive any right to participate in class actions.
Amendments
